  7. NETSCAPE NAVIGATOR END USER LICENSE AGREEMENT
  8. REDISTRIBUTION NOT PERMITTED
  9.  
  10. This Agreement has 3 parts.  Part I applies if you have not purchased
  11. a license to the accompanying software (the "Software").  Part II
  12. applies if you have purchased a license to the Software.  Part III
  13. applies to all license grants.  If you initially acquired a copy of
  14. the Software without purchasing a license and you wish to purchase a
  15. license, contact Netscape Communications Corporation ("Netscape") on
  16. the Internet at http://www.netscape.com.
  17.  
  18. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED
  19. TO EVALUATION, EDUCATIONAL AND NON-PROFIT USE) GRANT.
  20.  
  21. Netscape grants you a non-exclusive license to use the Software free
  22. of charge if (a) you are a student, faculty member or staff member of
  23. an educational institution (K-12, junior college, college or library),
  24. a staff member of a religious organization, or an employee of an 
  25. organization which meets Netscape's criteria for a charitable 
  26. non-profit organization; or (b) your use of the Software is for the
  27. purpose of evaluating whether to purchase an ongoing license to the
  28. Software.  The evaluation period for use by or on behalf of a
  29. commercial entity is limited to 90 days; evaluation use by others is
  30. not subject to this 90 day limit.  Government agencies (other than
  31. public libraries) are not considered educational, religious, or
  32. charitable non-profit organizations for purposes of this Agreement. If
  33. you are using the Software free of charge, you are not entitled to
  34. hard-copy documentation, support or telephone assistance.  If you fit
  35. within the description above, you may use the Software in the manner
  36. described in Part III below under "Scope of Grant."
  37.  
  38. DISCLAIMER OF WARRANTY.
  39.  
  40. Free of charge Software is provided on an "AS IS" basis, without
  41. warranty of any kind, including without limitation the warranties of
  42. merchantability, fitness for a particular purpose and
  43. non-infringement. The entire risk as to the quality and performance of
  44. the Software is borne by you.  Should the Software prove defective,
  45. you and not Netscape assume the entire cost of any service and
  46. repair. In addition, the security mechanisms implemented by Netscape
  47. software have inherent limitations, and you must determine that the
  48. Software sufficiently meets your requirements. This disclaimer of
  49. warranty constitutes an essential part of the agreement. SOME
  50. JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS
  51. DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS
  52. THAT VARY BY JURISDICTION.

  54. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  55.  
  56. GRANT. Subject to payment of applicable license fees, Netscape grants
  57. to you a non-exclusive license to use the Software and accompanying
  58. documentation ("Documentation") in the manner described in Part III
  59. below under "Scope of Grant."
  60.  
  61. LIMITED WARRANTY.
  62.  
  63. Netscape warrants that for a period of ninety (90) days from the date
  64. of acquisition, the Software, if operated as directed, will
  65. substantially achieve the functionality described in the
  66. Documentation. Netscape does not warrant, however, that your use of
  67. the Software will be uninterrupted or that the operation of the
  68. Software will be error-free or secure. In addition, the security
  69. mechanisms implemented by Netscape software have inherent limitations,
  70. and you must determine that the Software sufficiently meets your
  71. requirements.  Netscape also warrants that the media containing the
  72. Software, if provided by Netscape, is free from defects in material
  73. and workmanship and will so remain for ninety (90) days from the date
  74. you acquired the Software. Netscape's sole liability for any breach of
  75. this warranty shall be, in Netscape's sole discretion: (i) to replace
  76. your defective media; or (ii) to advise you how to achieve
  77. substantially the same functionality with the Software as described in
  78. the Documentation through a procedure different from that set forth in
  79. the Documentation; or (iii) if the above remedies are impracticable,
  80. to refund the license fee you paid for the Software. Repaired,
  81. corrected, or replaced Software and Documentation shall be covered by
  82. this limited warranty for the period remaining under the warranty that
  83. covered the original Software, or if longer, for thirty (30) days
  84. after the date (a) of shipment to you of the repaired or replaced
  85. Software, or (b) Netscape advised you how to operate the Software so
  86. as to achieve the functionality described in the Documentation. Only
  87. if you inform Netscape of your problem with the Software during the
  88. applicable warranty period and provide evidence of the date you
  89. purchased a license to the Software will Netscape be obligated to
  90. honor this warranty. Netscape will use reasonable commercial efforts
  91. to repair, replace, advise or, for individual consumers, refund
  92. pursuant to the foregoing warranty within 30 days of being so
  93. notified.

  95. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY
  96. NETSCAPE. NETSCAPE MAKES NO OTHER EXPRESS WARRANTY AND NO WARRANTY OF
  97. NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE DURATION OF IMPLIED
  98. WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF
  99. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO
  100. THE ABOVE LIMITED WARRANTY PERIOD; SOME JURISDICTIONS DO NOT ALLOW
  101. LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY
  102. NOT APPLY TO YOU. NO NETSCAPE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED
  103. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS
  104. WARRANTY. If any modifications are made to the Software by you during
  105. the warranty period; if the media is subjected to accident, abuse, or
  106. improper use; or if you violate the terms of this Agreement, then this
  107. warranty shall immediately be terminated. This warranty shall not
  108. apply if the Software is used on or in conjunction with hardware or
  109. software other than the unmodified version of hardware and software
  110. with which the software was designed to be used as described in the
  111. Documentation.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU
  112. MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  114. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  115.  
  116. SCOPE OF GRANT.
  117.  
  118. You may:
  119. * use the Software on any single computer;
  120. * use the Software on a network, provided that each person accessing
  121.   the Software through the network must have a copy licensed to that
  122.   person;
  123. * use the Software on a second computer so long as only one copy is
  124.   used at a time;
  125. * copy the Software for archival purposes, provided any copy 
  126.   must contain all of the original Software's proprietary notices; or
  127. * if you have purchased licenses for a 10 Pack or a 50 Pack, make up
  128.   to 10 or 50 copies, respectively, of the Software (but not the
  129.   Documentation), provided any copy must contain all of the original
  130.   Software's proprietary notices.  The number of copies is the total
  131.   number of copies that may be made for all platforms.  Additional
  132.   copies of Documentation may be purchased.
  133.  
  134. You may not:
  135. * permit other individuals to use the Software except under the terms
  136.   listed above;
  137. * permit concurrent use of the Software;
  138. * modify, translate, reverse engineer, decompile, disassemble
  139.   (except to the extent applicable laws specifically prohibit such
  140.   restriction), or create derivative works based on the Software;
  141. * copy the Software other than as specified above;
  142. * rent, lease, grant a security interest in, or otherwise transfer
  143.   rights to the Software; or
  144. * remove any proprietary  notices or labels on the Software.
  145.  
  146. TITLE.
  147.  
  148. Title, ownership rights, and intellectual property rights in the
  149. Software shall remain in Netscape and/or its suppliers. The Software
  150. is protected by the copyright laws and treaties.  Title and related
  151. rights in the content accessed through the Software is the property of
  152. the applicable content owner and may be protected by applicable
  153. law. This License gives you no rights to such content.
  154.  
  155. TERMINATION.
  156.  
  157. The license will terminate automatically if you fail to comply with
  158. the limitations described herein.  On termination, you must destroy
  159. all copies of the Software and Documentation.
  160.  
  161. EXPORT CONTROLS.
  162.  
  163. None of the Software or underlying information or technology may be
  164. downloaded or otherwise exported or reexported (i) into (or to a
  165. national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea,
  166. Iran, Syria or any other country to which the U.S. has embargoed
  167. goods; or (ii) to anyone on the U.S. Treasury Department's list of
  168. Specially Designated Nationals or the U.S. Commerce Department's Table
  169. of Denial Orders. By downloading or using the Software, you are
  170. agreeing to the foregoing and you are representing and warranting that
  171. you are not located in, under the control of, or a national or
  172. resident of any such country or on any such list.
  173.  
  174. In addition, if the licensed Software is identified as a
  175. not-for-export product (for example, on the box, media or in the
  176. installation process), then the following applies: EXCEPT FOR EXPORT
  177. TO CANADA FOR USE IN CANADA BY CANADIAN CITIZENS, THE SOFTWARE AND ANY
  178. UNDERLYING TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES OR
  179. TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED BY
  180. U.S. GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION, ANYONE WHO
  181. IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED
  182. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE AGREEING TO THE
  183. FOREGOING AND YOU ARE WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON"
  184. OR UNDER THE CONTROL OF A FOREIGN PERSON.
  185.  
  186. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  187. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL NETSCAPE OR ITS SUPPLIERS
  188. OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT,
  189. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  190. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK
  191. STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  192. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL NETSCAPE BE LIABLE FOR
  193. ANY DAMAGES IN EXCESS OF THE AMOUNT NETSCAPE RECEIVED FROM YOU FOR A
  194. LICENSE TO THE SOFTWARE, EVEN IF NETSCAPE SHALL HAVE BEEN INFORMED OF
  195. THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER
  196. PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR
  197. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH
  198. LIMITATION. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION
  199. OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS
  200. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  201.  
  202. HIGH RISK ACTIVITIES.
  203.  
  204. The Software is not fault-tolerant and is not designed, manufactured
  205. or intended for use or resale as on-line control equipment in
  206. hazardous environments requiring fail-safe performance, such as in the
  207. operation of nuclear facilities, aircraft navigation or communication
  208. systems, air traffic control, direct life support machines, or weapons
  209. systems, in which the failure of the Software could lead directly to
  210. death, personal injury, or severe physical or environmental damage
  211. ("High Risk Activities").  Netscape and its suppliers specifically
  212. disclaim any express or implied warranty of fitness for High Risk
  213. Activities.
  214.   
  215. MISCELLANEOUS.
  216.  
  217. If the copy of the Software you received was accompanied by a printed
  218. or other form of "hard-copy" End User License Agreement whose terms
  219. vary from this Agreement, then the hard-copy End User License
  220. Agreement governs your use of the Software.  This Agreement represents
  221. the complete agreement concerning this license and may amended only by
  222. a writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE
  223. ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO
  224. THE TERMS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If
  225. any provision of this Agreement is held to be unenforceable, such
  226. provision shall be reformed only to the extent necessary to make it
  227. enforceable.  This Agreement shall be governed by California law
  228. (except for conflict of law provisions). The application the United
  229. Nations Convention of Contracts for the International Sale of Goods is
  230. expressly excluded.
  231.  
  232. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure by
  233. the Government is subject to restrictions set forth in subparagraphs
  234. (a) through (d) of the Commercial Computer-Restricted Rights clause at
  235. FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the
  236. Rights in Technical Data and Computer Software clause at DFARS
  237. 252.227-7013, or at 252.211-7015, or to Netscape's standard commercial
  238. license, as applicable, and in similar clauses in the NASA FAR
  239. Supplement. Contractor/manufacturer is Netscape Communications
